Pennsylvania Registered Agent
A Pennsylvania Registered Agent is a person or company designated by you to act as a representative for the LLC in PA, if you don’t have a Pennsylvania address to use.
You do not need to inform the state of the name of the registered agent, but you do need to use their address in the LLC formation documents if you do not have a Pennsylvania address.
The department of state requires that your PA LLC have a PA address.
Therefore, if you do not have a PA address that you can use, then you will need to appoint a friend/acquaintance as your registered agent (so that you can use their adress), or you will need to hire the services of a “commercial registered agent”. Typically, they run $100-$300/year.
If you need to hire a registered agent so that you can use their address on official paperwork and have them collect and forward any mail for you, we recommend Northwest Registered Agent.
In Pennsylvania, the registered agent must be a street or rural route address. P. O. Boxes are not acceptable addresses for a Pennsylvania LLC.
The registered agent for your LLC in PA must also be available at the address during normal business hours, so that they may be able to receive mail and any official notices sent to your business.
Anyone you know who lives in Pennsylvania or any company with an office in Pennsylvania may serve as the registered agent for your Pennsylvania LLC – provided, of course, that they agree to be your registered agent.
You may also serve as your own registered agent, if your address is in the state of Pennsylvania. You can use your business address or home address.
And again, if you don’t have a PA address, or know someone that does, then we recommend hiring a commercial registered agent so that you can use their address. They will also be able to collect and forward your mail for you.
Because the registered agent’s address for an LLC in PA is on the public record, many Pennsylvania LLCs opt to hire a third party to serve as their registered agent to maintain privacy.
The address for the registered agent is included in the LLC’s Formation Documents. The registered agent for your LLC in PA is the person designated to receive mail & official notifications.
If your LLC in PA is ever involved in a lawsuit, the papers will be sent to the registered agent.
This is the main reason it is important to maintain a registered agent at a physical address in the state of Pennsylvania who is available during normal business hours. Should your LLC ever be sued, you want to make certain you are notified as soon as possible.
If you are using a commercial service company as your registered agent for your LLC in PA, they are responsible for making sure the papers and notices they receive at their offices are forwarded to you in a timely manner.
It is your responsibility, however, to notify your registered agent as well as the state when you move or change your address, to prevent any further delays in your getting the important official notices for your Pennsylvania LLC.
